General Terms and Conditions

1. Introduction

These General Terms and Conditions (the "Terms") govern access to and use of the CareCard software-as-a-service platform (the "Platform"), operated by CareCard, a software-as-a-service provider specializing in healthcare and education solutions. CareCard may collect, use, store, and process personal information, including limited health-related information of medical students, solely where valid, informed, and explicit user consent has been obtained, and strictly in accordance with applicable privacy and data protection laws in the jurisdictions in which the Platform operates, including but not limited to India and the Province of Ontario, Canada. By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

2. Definitions

"CareCard" means CareCard and its affiliates, subsidiaries, officers, directors, employees, and authorized representatives.

"User" means any individual or legal entity that accesses or uses the Platform, including but not limited to medical students, educators, researchers, healthcare professionals, administrators, and institutional partners.

"Data" means all information, whether personal or non-personal, structured or unstructured, including academic, operational, and limited health-related information, that is collected, generated, uploaded, or processed through the Platform.

3. Scope of Services

Subject to these Terms, CareCard provides the following services through the Platform:

Data Hosting & Management

Secure hosting, storage, and processing of Data in accordance with applicable legal, regulatory, and contractual obligations.

Analytics & Reporting

Provision of analytics, insights, certifications, and reports for educational, operational, and healthcare-related purposes.

Research & Quality Improvement

Support for ethically approved research, quality improvement initiatives, and educational innovation in healthcare and academic settings.

Health Surveillance

Aggregate-level monitoring and analysis of health trends, systems performance, and educational outcomes, where permitted by law.

4. Data Use & Compliance

4.1 Permitted Uses

  • Provision, operation, and improvement of the Platform and its services.

  • Quality improvement, academic, and research purposes, subject to applicable approvals and consents.

  • Aggregate analytics and reporting that do not identify individual Users, where required by law.

4.2 Prohibited Uses

  • Use of Data for unauthorized commercial exploitation or advertising.

  • Disclosure, sale, or transfer of identifiable personal or health-related Data to third parties except as required by law or with explicit user consent.

6. Data Privacy & Security

6.1 Governance & Oversight

CareCard maintains governance structures to oversee data access, privacy compliance, and information security. All Data handling practices are designed to align with applicable privacy legislation, including the Personal Health Information Protection Act (Ontario) where applicable, relevant Indian data protection laws, and recognized institutional and industry standards.

6.2 Security Measures

Technical Safeguards

Use of industry-standard encryption, secure authentication mechanisms, and controlled system access.

Administrative Safeguards

Implementation of role-based access controls, internal policies, staff training, and audit logging.

Physical Safeguards

Restricted access to infrastructure and facilities, along with periodic security assessments conducted by qualified independent providers.

7. Intellectual Property

7.1 Ownership

All intellectual property rights in and to the Platform, including software, designs, documentation, trademarks, and proprietary methodologies, are and shall remain the exclusive property of CareCard or its licensors.

7.2 Restrictions

  • Users shall not copy, modify, distribute, sublicense, reverse engineer, or otherwise exploit any part of the Platform except as expressly permitted under these Terms.

  • The Platform may only be used for lawful purposes consistent with these Terms and applicable laws.

8. Limitation of Liability

To the maximum extent permitted by applicable law, CareCard shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to the use of, or inability to use, the Platform, including but not limited to data loss, service interruptions, or unauthorized access. Users are responsible for safeguarding their access credentials and complying with all applicable policies and laws.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

10. Changes to Terms

CareCard reserves the right to amend or update these Terms at its discretion. Material changes will be communicated to Users through the Platform or by electronic notice. Continued use of the Platform following such changes constitutes acceptance of the revised Terms.
